1. Operator and acceptance

GPT Mitra (gptmitra.in) is operated by Midpath Software Private Limited ("Midpath", "we", "us"), CIN U72900RJ2021PTC076949, 95-B, Vidhyut Nagar, Jaipur – 302019, India. By creating an account or using the service, you agree to these Terms and our Privacy Policy. You must be at least 18 and legally capable of contracting. If acting for an organisation, you confirm that you are authorised to bind it.

2. LLM inference marketplace

GPT Mitra connects consumers of large language model (LLM) inference with independent suppliers. We route requests, manage access and usage records, and perform supplier quality control. We aim to improve uptime reliability and offer more sustainable pricing for consumers. These are service objectives, not guarantees of any particular quality, availability, response time, price, saving or supplier capacity. Screening or monitoring a supplier is not an endorsement of every output or a certification of its systems.

Suppliers operate independent inference systems, which may rely on other providers. Models, capacity, prices and supported API features may change. No service-level agreement, dedicated capacity, automatic failover or service credit is included unless expressly agreed in writing. Requests may be rejected, interrupted or time out; you must handle incomplete streams and verify completion before relying on them.

3. AI outputs and your responsibility

AI outputs may be inaccurate, fabricated, biased, offensive, incomplete or infringing, even after quality checks. Independently verify outputs before use. The service does not provide professional medical, legal, financial or other regulated advice. Do not rely on it for emergencies, safety-critical decisions or decisions affecting legal rights without appropriate human review and safeguards. You remain responsible for your applications, end users and use of outputs.

4. Prices, payments and no refunds

Applicable prices, metering rules and taxes must be disclosed at purchase or before chargeable use. Check them before authorising a payment or request. Usage records alone are not a cash wallet, deposit, transferable balance or entitlement to supplier payouts.

All purchases, payments and prepaid credits, where offered, are final and non-refundable to the fullest extent permitted by law. We offer no voluntary refunds, cash redemption, exchanges or service credits for unused credits, cancellation, account closure, interruptions, unsatisfactory outputs, supplier failures or user error. Prepaid credits are usable only for the stated service and are not money held on deposit. Any expiry must be disclosed before purchase. This policy does not exclude a refund, correction of an unauthorised or erroneous charge, or other remedy required by applicable law. Payment providers may apply their own terms.

5. Accounts and acceptable use

Protect your credentials and API/supplier keys, control access by your applications and report suspected misuse promptly. You are responsible for use you authorise. Do not submit data you have no right to process, infringe rights, commit fraud, distribute unlawful material, attack systems, evade limits, misuse other accounts or interfere with the marketplace. Comply with applicable law and model/provider restrictions disclosed for your use.

6. Prompts, recording and intellectual property

You retain whatever rights you hold in submitted content and authorise Midpath and the selected suppliers to process it as necessary to deliver the service. You must have a lawful basis for submitting personal data and other protected content, including on behalf of end users. Outputs are subject to applicable law and model/provider rights; we do not guarantee uniqueness, ownership, copyright protection or non-infringement.

Recording is optional per API key and disabled by default. Enabling it captures prompts and streamed responses for asynchronous upload to that key's configured storage. Recording is bounded and may be incomplete or lost; it is not a guaranteed backup. You are responsible for your storage permissions, credentials, retention and disclosures. Supplier processing occurs even when GPT Mitra recording is disabled; see our Privacy Policy.

Midpath and its licensors retain rights in the platform, software and branding. Use of the API does not transfer these rights. You may integrate the API into lawful applications, subject to these Terms.

7. Supplier obligations

Suppliers must be authorised to offer their models and upstream access, advertise capabilities honestly, safeguard consumer content, honour cancellations and comply with applicable law and disclosed data-use restrictions. Do not misuse prompts, falsify usage or quality metrics, or expose credentials. We may test, monitor, restrict or remove suppliers for quality, reliability, security or compliance reasons. Listing does not guarantee traffic, revenue or payment; any commercial settlement requires separately agreed terms.

8. Suspension and availability

We may limit, suspend or terminate access for breach, fraud, security risks, non-payment, legal requirements or operational necessity. We may discontinue services with reasonable notice where practicable. We are not responsible, to the extent permitted by law, for events beyond our reasonable control, including supplier, hosting, network or payment outages. Account closure does not erase records we must lawfully retain. The no-refund policy remains subject to mandatory legal remedies.

9. Disclaimers and exclusion of liability

To the fullest extent permitted by law, the marketplace and outputs are provided "as is" and "as available", without express or implied warranties, including merchantability, fitness for a particular purpose, accuracy, non-infringement, security or uninterrupted availability.

To the fullest extent permitted by law, Midpath excludes all liability arising from or relating to the service, suppliers, outputs or use of the platform. This includes direct, indirect, incidental, special, consequential and punitive losses, lost profits, revenue, opportunities, data, goodwill, business interruption and costs of substitute services, irrespective of the legal basis or whether the possibility was known.

If an exclusion is unenforceable but a limitation is permitted, Midpath's aggregate liability for the affected service will not exceed the amount you paid Midpath for that service. Nothing in these Terms excludes or limits liability or rights that cannot lawfully be excluded or limited, including mandatory consumer remedies. These Terms do not guarantee immunity from legal claims.

10. Indemnity

To the extent permitted by law, you will indemnify Midpath against third-party claims and reasonable costs arising from your unlawful use, content you had no right to submit, supplier services you had no right to offer, or breach of these Terms, except to the extent caused by Midpath's own conduct.

11. Changes and governing law

We may update these Terms prospectively and notify material changes through the platform or another reasonable channel. Changes do not retrospectively alter an already-paid purchase without your agreement or a legal requirement. If you disagree, stop using the service. Indian law governs. Subject to mandatory consumer and other forum rights, courts in Jaipur, Rajasthan have exclusive jurisdiction. If a provision is unenforceable, the remainder continues; non-enforcement is not a waiver.
